Elvino Martinus

Elvino Martinus is a founding partner of the firm with a more than 14 years of experience in advising international and local clients. Previously an associate partner at Hadiputranto, Hadinoto & Partners (the Indonesian member firm of Baker & McKenzie), Elvino’s areas of focus include capital markets and mergers & acquisitions.

As a part of his capital market practice, Elvino has represented both issuers and underwriters in various capital market transactions, including IPO, debt securities offerings, taking private, tender offers, related party, material conflict of interest transactions, and capital market derivative transactions. Elvino has been involved in the fund raising of more than US$21 billion from the equity market and more than US$ 25 billion from the debt market.

Elvino advises companies on pre-IPO restructuring which includes putting in place efficient corporate and shareholding structures as a preparation for going public. Elvino also regularly advises clients on capital market compliance requirements, not only to public companies but also to other capital-market-related entities, namely securities houses, asset management companies and auditors. Elvino has led most of the recent delisting and go-private transactions in Indonesia.

In the M&A space, Elvino has assisted private and public sector corporations, and advised on a wide range of domestic and cross-border transactions across various industries. Elvino’s core industries include financial institutions, IT, plantations, mining, healthcare, real estate, F&B and transportation. Elvino advises multinational clients, prominent investment banks, local conglomerates, local and foreign private equity firms on shares acquisition, mezzanine, equity-linked and convertible instruments. Elvino’s specialty also includes corporate restructuring, strategic business alliances and asset disposals.

In 2019, the International Financial Law Review (IFLR) named Elvino as the “Asia Pacific Rising Star of the Year” for his outstanding contribution in a number of Asia’s landmark transactions. In 2022 and 2023, he was named as an “Up and Coming Ranked Lawyer” by Chambers and Partners. He is also recognized as a “Recommended Lawyer” by Legal 500 in its 2023 edition (in Corporate and M&A sector). As part of his pro-bono activities, Elvino served as a legal facilitator in the Indonesian Stock Exchange Incubator Program, a platform created by the stock exchange to develop and provide counseling to the country’s selected start-up companies. His writing has been published in major publications such as the Lexis Nexis Advance for Corporate Governance.
